Minutes of Executive Committee Meeting
Col. William E. Weber Chapter 142, KWVA
November 1, 2022

In Attendance: Commander Becker, Secretary Wienhoff, Treasurer Mount, Chipley, Thornton and Cody
Unable to Attend: Vice Commander Eader, Kephart, Murphy, Rinehart and Hall

Commander Becker called the meeting to order at 11:30 am.

Minutes of the October 4, 2022 were presented for approval and were approved on Motion by Chipley, second by Mount.

Treasurer's report was presented by Treasurer Mount, which consisted of the Balance Sheet for October 31, 2022 and Income and Expense for October 2022. After review, the report was approved on motion by Wienhoff, second by Thornton.

The following matters were discussed:

Commander Becker read a letter from American Legion Post 11 asking for a contribution toward purchase of wreathes for Mt. Olivet Cemetery. Motion made by Mount, second by Thornton to donate $75 for 15 wreathes. Motion approved.

Word was received that Annelie Weber had passed away.

Brunswick Parade is Sunday, November 6th. Meet at Roy Rogers at 1pm. We are assigned slot 25.

Plans for guests and administrative tasks for the Christmas Lunch was decided.

Old Business: none

New Business:

Motion made by Chipley, second by Thornton to donate $1,000 to the Veterans History Project at the Christmas Lunch.

The meeting was adjourned at 12:15 pm on motion by Chipley, second by Thornton.

Minutes of Special Executive Committee Meeting
Col. William E. Weber Chapter 142, KWVA
November 21, 2022

Commander Becker called a Special Executive Committee Meeting on November 21, 2022 to discuss important pending matters.

In attendance: Commander Becker, Secretary Wienhoff, Treasurer Mount, Chipley, Thornton and Cody
Unable to attend: Vice Commander Eader, Kephart, Murphy, Rinehart and Hall

Commander Becker called the meeting to order at 11:30 am.

Matters Discussed:

  • A Resident Agent to serve one year following dissolution of the Corporation. Consensus was that Treasurer Mount be named.
  • It must be decided how the Chapter’s final funds will be spent.
  • Commander Becker will shred all member DD214 forms in the storage locker.

New Business:

  • A motion was made by Mount, second by Cody, to file Articles of Dissolution with the goal of dissolving the Col. William E. Weber Chapter 142, Korean War Veterans Association of Frederick County, Maryland, Inc. on December 31, 2022. Motion approved.
  • A motion by Chipley, second by Cody, to name Treasurer Mount as Resident Agent to serve one year following dissolution of the Corporation.
  • A motion by Mount, seconded by Wienhoff, to engage Attorney Danny Tregoning to resolve any issues caused by our corporation being a General Business-Non-Stock Corporation. Estimated cost $500. Motion Approved.
  • A motion by Mount, second by Wienhoff, to donate $5,000 to the Museum of Wars of the 20th Century being formed by Priscilla Rall. Motion failed.

Motion to adjourn by Mount, second by Chipley and meeting adjourned at 12:45pm.
